Services
M-Labs specializes in creating artistic designs, including but not limited to 3D animations, graphic design, live visual performance and digital artwork. All services provided by M-Labs are subject to the following terms and conditions.
Intellectual Property
All designs, animations, and other artistic creations produced by M-Labs are the intellectual property of M-Labs until full payment is received. Upon full payment, ownership of the final product transfers to the client, unless otherwise agreed upon in writing. However, live visual performances remain the property of M-Labs unless explicitly agreed otherwise between M-Labs and the client. We reserve the right to use any created works in our portfolio and for marketing purposes unless otherwise agreed with client.
Payment Terms
Payment terms will be agreed upon prior to the commencement of any project. A non-refundable deposit may be required to start work. Full payment is due upon completion of the project, unless otherwise specified in the contract. Payments can be made via bank transfer or credit / debit card.
Revisions and Approvals
We strive to ensure our clients are satisfied with the final product. Revisions may be requested during the development process and will be handled as per the terms agreed upon in the initial contract. Significant changes or additional revisions beyond the scope of the original agreement may incur additional fees.
Delivery and Deadlines
Delivery dates and deadlines will be established at the start of each project. We commit to meeting these deadlines, provided all necessary information and materials are supplied by the client in a timely manner. Delays caused by the client may result in adjustments to the delivery schedule.
Confidentiality
We respect the confidentiality of our clients and their projects. Any sensitive information provided to us will be handled with the utmost care and will not be disclosed to third parties without prior consent, except as required by law.
Biometric Security
For certain projects, M-Labs may require the use of client biometric data, such as facial recognition data, for face-swapping and client-approved deepfake creations. The following conditions apply to the handling of biometric data:
- Purpose: Biometric data is collected and used exclusively for the purposes of the specified project.
- Storage: Biometric data is stored only for the duration of the project and is permanently deleted immediately upon completion of the work.
- Security: All processing of biometric data occurs on fully airgapped computers that are not connected to the internet, ensuring maximum security and confidentiality.
- Consent: By engaging our services, clients consent to the collection and use of their biometric data under these terms.
Limitation of Liability
M-Labs is not liable for any indirect, incidental, or consequential damages arising out of the use of our services or products. Our total liability for any claim arising from our services is limited to the amount paid by the client for the services in question.
Termination
Either party may terminate the agreement at any time, with or without cause. Upon termination, the client is responsible for payment for all work completed up to the date of termination. Any deposits paid are non-refundable.
Governing Law
These terms and conditions are governed by and construed in accordance with the laws of New Zealand, and any disputes relating to these terms and conditions will be subject to the exclusive jurisdiction of the courts of New Zealand.
Changes to Terms and Conditions
M-Labs reserves the right to revise these terms and conditions at any time. Any changes will be posted on our website, and continued use of our services constitutes acceptance of the revised terms and conditions.
